Kindness is Cool Creator Contest

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT IMPROVE YOUR CHANCES OF WINNING. THIS IS A SKILL-BASED CONTEST. THE WINNER WILL BE SELECTED BY JUDGES BASED ON THE CRITERIA CONTAINED IN THE SECTION TITLED “JUDGING”. VOID IN NEW YORK, FLORIDA, OUTSIDE THE 50 UNITED STATES AND THE DISTRICT OF COLUMBIA, AND WHERE PROHIBITED OR RESTRICTED BY LAW OR REGULATION.

AFFIDAVIT (OR DECLARATION) OF ELIGIBILITY / RELEASE OF LIABILITY / PUBLICITY RELEASE / PRIZE ACCEPTANCE AGREEMENT MAY BE REQUIRED IF REQUESTED BY SPONSOR/ADMINISTRATOR.

SPONSOR OBTAINS RIGHTS FROM ENTRANTS TO USE CONTENT SUBMITTED AS PART OF THE CONTEST.

THIS CONTEST IS IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH ANY THIRD-PARTY SOCIAL MEDIA PLATFORM.

PLEASE READ THESE OFFICIAL RULES CAREFULLY BEFORE ENTERING. BY ENTERING (OR OTHERWISE PARTICIPATING) IN THE CONTEST, YOU AGREE TO THESE OFFICIAL RULES, WHICH CREATE A CONTRACT. WITHOUT LIMITATION, SUCH CONTRACT INCLUDES GRANTS OF RIGHTS AND INDEMNITIES TO SPONSOR FROM YOU, A CLASS ACTION WAIVER, AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.

1. General

The POD U Kindness Creator Contest (the “Contest”) is sponsored by Rebel Audio, Inc., with its principal address at 5050 Carothers Parkway, Suite 104 PMB 235, Franklin, TN 37067 (“Sponsor”). Kindness is Cool (“Charitable Partner”) is not a sponsor and is not responsible for the administration of the Contest. The Contest is not sponsored, endorsed, administered by, or associated with Instagram, TikTok, YouTube, Meta, or any other social media platform. The Contest is subject to these official terms and conditions (“Official Rules”) and to all applicable federal, state and local laws.

2. Agreement to Official Rules

All participation in this Contest shall be governed by these Official Rules. By entering or otherwise participating in the Contest, each entrant fully and unconditionally agrees to be bound by these Official Rules and by Sponsor’s decisions, which are final and binding in all matters relating to the Contest. Winning a prize is contingent upon fulfilling all requirements set forth in these Official Rules.

3. Eligibility

Open only to legal residents of the 50 United States and the District of Columbia, excluding New York and Florida, who are 18 years of age or older (or the age of majority in their state of residence, if higher) at the time of entry. Employees, officers, members of the board of directors or other governing body, contractors and agents of Sponsor and Charitable Partner, and any prize providers, advertising or promotion agencies, contest agencies, service providers, contractors, and their respective parent, subsidiary, and affiliated companies,, and the immediate family members (spouse, parents, siblings, children) and household members of each (collectively, the “Contest Entities”), are not eligible to enter. Void where prohibited or restricted by law or regulation.

4. Entry Period

The Contest begins at 12:00:00 a.m. Central Time (“CT”) on October 5, 2026 and ends at 11:59:59 p.m. CT on October 12, 2026 (the “Entry Period”). Sponsor’s data system is the official timekeeping device. Entrants are solely responsible for determining the correct time zone in their respective jurisdictions. Contest Entities disclaim all liability or responsibility relating thereto.

5. How to Enter

Complete all of the following during the Entry Period:

  1. Register.Visit www.rebelaudio.ai/kindness (the “Entry Page”) and create a free Rebel Audio account, or log in to an existing one. No paid subscription or purchase is required.
  2. Create a proof-of-concept Episode.Using Rebel Audio’s podcast tools, create an original proof-of-concept Episode of your show, in audio or video format, that is at least two (2) minutes and no more than ten (10) minutes long (the “Episode”). In the Episode, describe the podcast you want to make and show how it will make a difference in your community, your city, your state, or the world. No paid subscription is required to create the Episode.
  3. Submit. Complete the entry form with your name, city and state, and show name or working title, upload or link your episode from your Rebel Audio account, check the box confirming you agree to these Official Rules, and submit.

Limit:One (1) entry per person and per Rebel Audio account. Episodes shorter than two (2) minutes or longer than ten (10) minutes, or not created with Rebel Audio’s tools, may be disqualified.

Normal internet access or device usage charges imposed by mobile carriers may apply to entries submitted via mobile device. Messaging and data rates apply to internet access via mobile devices. Other charges may apply; check with the applicable mobile carrier for rates and details. Consent may not be condition of purchase or imposition of messaging, data rates and other charges imposed by mobile carriers.

Sponsor is not responsible for lost, late, incomplete, duplicate, misdirected, script- or bot-generated, fraudulent, nonconforming or corrupted entries or entries generated by other automated means; technical, network, hardware, or software failures; unauthorized human intervention; or errors in the administration of the Contest or printing of these Official Rules. These entries may be disqualified in Sponsor’s sole discretion. Following, liking, or sharing posts by Sponsor or Charitable Partner is not required and does not affect judging.

6. Episode Requirements

Each Episode must: (a) be the entrant’s original idea and work, in the entrant’s own words and voice [Rebel Audio’s built-in tools, including AI features, may be used to produce the Episode]; (b) not include material the entrant does not have the right to use, including third-party music, sound recordings, or video clips; (c) not include private information about another person without that person’s consent, not include any person’s voice or likeness without that person’s consent, or identify anyone under 18 without a parent or guardian’s consent; (d) not be defamatory, obscene, hateful, discriminatory, or unlawful, or promote violence, drugs, alcohol, or weapons; (e) not violate any law; and (f) comply with the Rebel Audio Terms of Service. Sponsor may disqualify any entry that does not meet these requirements, at its sole discretion.

7. Judging

A panel of judges from Sponsor and Charitable Partner (the “Judges”) will score all eligible entries and, on or about October 13, 2026, select one (1) potential winner and one (1) runner-up. Each Episode is scored on the following criteria, which together count for seventy percent (70%) of the entrant’s total score:

Each Episode is also scored on production quality and use of Rebel Audio’s tools, weighted equally, which together count for thirty percent (30%) of the entrant’s total score. Ties are broken by the higher community impact score, continuing thereafter to each judging criterion in order, as needed to break the tie. The Judges may contact top-scoring entrants by email or phone to confirm details of their Episode before final selection. The Judges’ decisions are final and binding. If fewer than five (5) eligible entries are received, or no entry meets a minimum quality standard, Sponsor may choose not to award the Prize.

8. Prize

One (1) Grand Prize (the “Prize”) designed to help the winner launch a podcast, with a total Approximate Retail Value (“ARV”) of $10,000, consisting of:

Travel and Events

Sponsor provides and books all transportation from a major U.S. airport near the winner’s residence (or reimburses mileage if the winner lives within 200 miles of an Event). The winner must be available to travel October 15 through October 17, 2026 for the first Event. If the winner cannot travel on those dates, the Prize is forfeited and awarded to the runner-up. If the winner cannot attend the second Event, that Event’s travel, lodging and expense components are forfeited with no substitution. If the second Event is not held by December 31st, 2027, Sponsor will award $2,000. Actual travel value may vary based on departure city and fares at time of booking; any difference between actual and stated ARV will not be awarded. Expenses not expressly listed above are the winner’s responsibility.

Subscription

The Studio tier subscription will be applied to the winner’s Rebel Audio account and must be activated by November 1, 2026. It runs for thirty-six (36) consecutive months from activation, is subject to the Rebel Audio Terms of Service, and is non-transferable with no cash value. Plan features may change during the term as they do for all Studio subscribers. If the winner’s account is terminated for violation of the Terms of Service, the remaining subscription term is forfeited.

Mentorship

Sessions will be scheduled by mutual agreement, virtually or in person, and must be used within twelve (12) months of the first Event; unused sessions expire. Mentorship is educational guidance only, and Sponsor makes no guarantee of audience size, downloads, revenue, or other results.

No transfer, substitution, or cash equivalent of any Prize component, except that Sponsor may substitute a component of equal or greater value at its sole discretion. Kindness is Cool is participating in this promotion as a charitable partner of Sponsor. The Prize is a promotional contest prize awarded by Sponsor and is not a scholarship, grant, or charitable award.

9. Winner Notification, Verification, and Runner-Up

The potential winner will be notified by email and/or phone on or about October 13, 2026 and must respond within twenty-four (24) hours. The potential winner will be subject verification, including verification of age and compliance with these Official Rules. Within that period, the potential winner must confirm availability to travel October 15–17, 2026 and sign and return an Affidavit of Eligibility, Liability Release, and (where lawful) Publicity Release, and an IRS Form W-9, or other tax form as required by law. If the potential winner cannot be reached, fails to respond or return documents on time, cannot travel on the Event dates, is found ineligible, or does not comply with these Official Rules, the Prize will be forfeited and offered to the runner-up on the same terms. If the runner-up also does not qualify, the Prize may go unawarded.

10. Taxes

The winner is solely responsible for all federal, state, and local taxes, fees and other government assessments associated with receipt and use of the Prize or participation in this Contest. Federal and state withholding laws are subject to change without notice. Sponsor will issue an IRS Form 1099-MISC to the winner for the full ARV of the Prize ($10,000) [for the tax year in which the Prize is awarded, including the value of subscription and mentorship components delivered in later years], which the winner will be required to sign at a time and in a manner determined by Sponsor in its sole discretion. The winner will be required to furnish his or her social security number for the sole purpose of preparation of any tax forms as required by law.

11. License to Entries

Entrants keep ownership of their Episodes. By entering, each entrant grants Sponsor and Charitable Partner a non-exclusive, royalty-free, worldwide license to reproduce, edit for length, display, distribute, publish, and publicly perform the Episode, in whole or in part, together with the entrant’s first name, city and state, in any media, for purposes of administering and promoting the Contest, POD U, Sponsor, and Charitable Partner, for two (2) years after the Contest ends, without further compensation. Entrants confirm they have all rights needed to grant this license. Sponsor will not publish any Episode other than the winner’s and runner-up’s without the entrant’s permission.

12. Event Conduct

The winner must comply with all Event rules, codes of conduct, and venue policies. Alcohol served at an Event will be available only to guests 21 and older with valid ID and is not part of the Prize. Sponsor may remove the winner from an Event for disruptive, unsafe, or unlawful conduct, with no substitute or compensation. The winner acknowledges that each Event will be photographed, filmed, and recorded, including for podcast and social media content.

13. Publicity

Except where prohibited, participation in the Contest constitutes each entrant’s consent for Sponsor and Charitable Partner to use the entrant’s name, hometown, city and state, likeness, voice, image, biographical information, statements, the Episode, and any Event footage or recordings, in any media now known or later developed, worldwide, in perpetuity, for advertising, promotional, and content purposes, without further notice, review, approval, consideration or compensation.

14. Release and Limitation of Liability

By entering, entrants agree to release, defend, and hold harmless Sponsor, Charitable Partner, any prize providers, advertising and promotion agencies, service providers, vendors, and each of their parents, affiliates, officers, directors, employees, contractors, and agents (the “Released Parties”) from any and all claims, losses, or damages arising out of participation in the Contest, the Episode, or the receipt, redemption, use, or misuse of the Prize, including travel and Event attendance, and including claims for personal injury, death, property damage or loss, or invasion of privacy or publicity rights. The Released Parties are not responsible for: lost, late, incomplete, duplicate, misdirected, script-generated, fraudulent, nonconforming or corrupted entries; technical, network, hardware, or software failures; unauthorized human intervention; or errors in the administration of the Contest or printing of these Official Rules. These entries may be disqualified in Sponsor’s sole discretion.

15. Right to Cancel, Modify, or Disqualify

If the Contest cannot run as planned because of fraud, technical failure, or any cause beyond Sponsor’s reasonable control, Sponsor may cancel, suspend, or modify the Contest and, if cancelled, award the Prize by judging eligible entries received before cancellation. Sponsor may disqualify any person who tampers with the entry process, or any website or system used in connection with the Contest, violates these Official Rules, or acts in an unsportsmanlike, abusive, threatening, harassing or disruptive manner. Any attempt to deliberately damage any website or undermine the Contest may violate criminal and civil law, and Sponsor reserves the right to seek damages to the fullest extent permitted by law.

16. Force Majeure

The Released Parties will not be liable for failure to execute the Contest, supply any prize or any part thereof, or otherwise perform any Contest-related obligation if the integrity, administration, or feasibility of the Contest is undermined by any event beyond their reasonable control, including an act of God, governmental action, equipment failure, cyber-attack, fire, flood, severe weather, epidemic, pandemic, labor or material shortage, transportation interruption, civil disturbance, product shortage, or any similar or dissimilar event beyond their reasonable control. In connection with the foregoing, Sponsor may abbreviate, modify, suspend, cancel, or terminate the Contest without further obligation.

17. Social Media Platforms

The Contest is in no way sponsored, endorsed, administered by, or associated with Instagram, TikTok, YouTube, Meta Platforms, Inc., or any other social media platform. Each entrant releases these platforms from all liability in connection with the Contest. Information provided by entrants is provided to Sponsor and not to any platform.

18. Privacy

Information collected from entrants in connection with the Contest is subject to these Official Rules and the Sponsor’s Privacy Policy and Terms of Use, which may be amended from time to time and which are currently located at www.rebelaudio.ai/privacy and [link], respectively. By submitting an entry, you agree to be contacted by Sponsor with Contest-related communications. Sponsor will use this and entry information to administer the Contest and fulfill the Prize. Entrants who separately opt in will receive marketing communications from Sponsor and may unsubscribe at any time. Opting in to marketing is not required to enter. The information each entrant provides will be used as stated herein and the aforementioned policies, and for purposes of this Contest.

19. Disputes; Limitation of Liability; Governing Law

EXCEPT WHERE PROHIBITED, EACH ENTRANT AGREES THAT: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THIS CONTEST OR ANY PRIZE AWARDED SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, AND EXCLUSIVELY BY STATE OR FEDERAL COURTS SITUATED IN THE STATE OF TENNESSEE, (2) TENNESSEE LAW, WITHOUT REFERENCE TO CHOICE OF LAW RULES, GOVERNS THE CONTEST AND ALL ASPECTS RELATED THERETO, (3) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED (IF ANY), BUT IN NO EVENT ATTORNEYS’ FEES, (4) NO PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR OTHER DAMAGES, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, MAY BE AWARDED (COLLECTIVELY, “SPECIAL DAMAGES”), AND (5) ENTRANT HEREBY WAIVES ALL RIGHTS TO CLAIM SPECIAL DAMAGES AND ALL RIGHTS TO SUCH DAMAGES MULTIPLIED OR INCREASED.

20. Severability

The invalidity, illegality, or unenforceability of any provision of these Official Rules will not affect the validity, legality, or enforceability of any other provision. Any invalid, illegal, or unenforceable provision will be deemed severed from these Official Rules, and the balance of these Official Rules will be construed and enforced as if these Official Rules did not contain such provision.

21. General Conditions

By entering, entrants agree to be bound by these Official Rules and the decisions of Sponsor and the Judges. If any provision is held invalid, the remaining provisions remain in effect. Sponsor’s failure to enforce any term is not a waiver of that term. In the event of any conflict between these Official Rules and any promotional materials, including social media posts by Charitable Partner or talent, these Official Rules control.

Sponsor and the Contest Entities are not responsible for incorrect or inaccurate information; technical, network, computer, app, device, or human errors; lost, late, incomplete, misdirected, or undeliverable entries or communications; or any failure to capture entry or other information. If fraud, tampering, unauthorized intervention, technical failure, force majeure, or any other cause impairs the administration, security, fairness, integrity, or proper operation of the Contest, Sponsor may cancel, terminate, modify, or suspend the Contest and, if appropriate, select winners from eligible, non-suspect entries received before the action or as otherwise deemed fair and equitable by Sponsor. In the event of any discrepancy, ambiguity, inconsistency, printing error, advertising statement, app message, in-store material, or other communication regarding the Contest, these Official Rules will govern.

No more than the stated number of prizes will be awarded.

The Contest is subject to all applicable federal, state, and local laws and regulations and is void where prohibited or restricted by law.

22. Winner's List

For the winner’s first name, last initial, and state, send an email to admin@rebelaudio.ai with the subject line “POD U Kindness Contest Winner” by November 30, 2026 within thirty (30) days of the end of the Entry Period.
