Terms of Service

These Terms of Service ("Terms") are between Rebel Audio LLC ("Rebel Audio," "we," "us," or "our") and the individual or entity that accesses or uses our website, applications, platform, and all related tools and services (collectively, the "Services") ("User," "you," or "your").

BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU ARE ACCESSING OR USING THE SERVICES ON BEHALF OF A COMPANY, ENTITY, OR ORGANIZATION, YOU REPRESENT AND WARRANT THAT YOU ARE AN AUTHORIZED REPRESENTATIVE WITH THE AUTHORITY TO BIND SUCH ENTITY TO THESE TERMS, AND REFERENCES TO "YOU" OR "USER" SHALL REFER TO SUCH ENTITY.

THESE TERMS REQUIRE THE USE OF BINDING INDIVIDUAL ARBITRATION TO RESOLVE DISPUTES RATHER THAN JURY TRIALS OR CLASS ACTIONS.

1. Eligibility

You must be at least eighteen (18) years old to use the Services. By using the Services, you represent and warrant that you meet this age requirement. If we learn that a User under the age of eighteen (18) has created an account, we will promptly deactivate the account and take reasonable measures to delete any associated data from our records.

2. Platform Overview and Services

Rebel Audio is a podcast platform offering end-to-end services for podcast creators, covering both audio and video formats. The Services support two primary onboarding paths: creators may either record directly within the platform or upload audio and video content that has been recorded elsewhere. The platform encompasses, without limitation, the following features and capabilities:

2.1 Creative and Production Services

The platform provides a suite of creative and production services, including but not limited to generating episode titles, creating concept artwork, transcribing full episode text, segmenting episodes into chapters and sections, and creating appropriate metadata for publishing across podcast networks (e.g., Apple Podcasts, Spotify, and other distribution channels).

2.2 One-Button Publishing

The platform offers a streamlined publishing feature allowing Users to publish both audio and video content across the broader podcast and media ecosystem, including Spotify, YouTube, Amazon, and other distribution channels, directly from the Rebel Audio platform.

2.3 Clipping and Social Media Content

The platform enables Users to create clips of podcast content for use on social media and other distribution channels. Rebel Audio may utilize third-party tools and services to provide clipping functionality.

2.4 AI-Powered Tools

The platform includes artificial intelligence features, including but not limited to AI-generated show notes, AI image generation, audio enhancement, filler word removal, and other AI-powered editing and production tools. AI-generated outputs ("AI Output") may not be unique, and the copyright status of AI-generated content may be unclear under applicable law. Users assume all risk associated with the use of AI tools and are solely responsible for verifying the accuracy, lawfulness, and suitability of any AI Output before use.

2.5 Voice Cloning

The platform utilizes voice cloning technology for two primary purposes: (a) generating in-episode advertisement reads using the User's cloned voice profile; and (b) translating transcribed episodes into foreign languages. By using the voice cloning features, you expressly consent to the creation, storage, and use of a digital voice model derived from your voice recordings for these purposes. You represent and warrant that you have obtained all necessary consents from any third-party speakers whose voices are submitted for cloning through the Services.

2.6 Cross-Podcast Stitching

Rebel Audio may develop and offer a feature enabling the clipping and stitching of content from multiple podcasts into a single composite podcast (the "Cross-Podcast Stitching Feature"). Revenue generated from composite works created through Cross-Podcast Stitching will be divided among contributing Users based on listen counts and each User's percentage contribution to the composite podcast. The Cross-Podcast Stitching Feature is subject to the opt-out provisions set forth in Section 7 of these Terms.

2.7 Creator Dashboard and Analytics

Users will have access to a dashboard providing demographics and engagement data showing who is interacting with their content on the platform, including audience expansion and monetization opportunities.

2.8 Modifications to Services

Rebel Audio reserves the right to add, modify, or discontinue any feature or functionality of the Services at any time, with or without notice to you. Rebel Audio may roll out additional features or services from time to time, which may require additional fees and terms and conditions as set forth in the user interface of the Services or a separate agreement between the parties.

3. Account Registration

3.1 Account Required

An account is required to access and use the Services. You must provide complete, accurate, and current information during registration and promptly update such information as necessary.

3.2 Account Security

You are solely responsible for safeguarding your account credentials, including your username and password, and for all activity that occurs under your account. Account credentials may not be shared with or transferred to any third party. You must notify Rebel Audio immediately of any unauthorized use of your account or any other security breach. Rebel Audio will not be liable for any loss arising from your failure to comply with this Section.

3.3 Prohibited Uses

The platform may not be used for any illegal or unauthorized purposes. You agree not to use the Services to:

  • violate any applicable law, regulation, or third-party right
  • upload, transmit, or distribute any content that is unlawful, defamatory, obscene, infringing, or otherwise objectionable
  • interfere with or disrupt the integrity or performance of the Services
  • attempt to gain unauthorized access to the Services, other accounts, or any related systems or networks
  • use automated means, including bots, scrapers, or crawlers, to access the Services or export information therefrom
  • distribute malware, viruses, or any other harmful code
  • impersonate any person or entity or misrepresent your affiliation with any person or entity

4. Subscription Plans and Fees

4.1 Subscription Tiers and Pricing

Rebel Audio offers multiple subscription tiers, each providing varying levels of access to the Services. Pricing and subscription details, including the features included in each tier and the applicable fees, are available on our pricing page and may be updated from time to time. By using the Services, you agree to the pricing and payment terms described on the Pricing Page. Enterprise pricing is governed by separate written agreements between Rebel Audio and the applicable enterprise customer.

4.2 Feature Modifications

Rebel Audio reserves the right to add, modify, or remove features included within any subscription tier at any time, with or without notice, without adjusting the applicable subscription fee. Continued use of the Services following any such modification constitutes your acceptance of the updated feature offerings.

4.3 Fees and Payment

All fees are stated in U.S. dollars (USD) and exclude applicable taxes unless otherwise specified. Certain features may be billed based on usage, and usage is measured and charged according to the rates displayed at the time of use. You hereby authorize Rebel Audio to bill you in accordance with the terms of your selected subscription plan until you terminate your account, and you agree to pay all charges so incurred. You will promptly update your account information with any changes, including changes to your billing address or payment method.

4.4 Subscriptions and Automatic Renewal

Rebel Audio paid plans are offered on a subscription basis. By purchasing a subscription, you agree to the following:

(a) Automatic Renewal. Your subscription will automatically renew at the end of each billing period unless you cancel prior to the renewal date.

(b) Recurring Billing Authorization. You authorize Rebel Audio to automatically charge the applicable subscription fees to your designated payment method at the beginning of each renewal period. The amount billed may vary due to promotional offers, plan changes, or applicable taxes.

(c) Continuous Service Until Cancellation. Your subscription will remain in effect until you cancel it. You may cancel your subscription at any time through your account settings.

4.5 Fee Changes

Rebel Audio reserves the right to modify fees at any time. Changes will be effective upon posting to the Pricing Page. You will receive reasonable prior notice of any fee changes via email, and continued use of the Services after the change constitutes your agreement to the updated fees.

4.6 Taxes

All fees and other amounts due under these Terms are exclusive of sales, service, use, business, and any similar taxes (collectively, "Transaction Taxes"). You shall self-assess any applicable Transaction Taxes to the extent required or allowed under applicable law. In the event that you do not self-assess any such Transaction Taxes, you shall indemnify and hold harmless Rebel Audio against such Transaction Taxes and any applicable interest or penalties.

4.7 Chargebacks

If at any time Rebel Audio records a decline, chargeback, or other rejection of a charge for any payable fees due under your account, this will be considered a breach of your payment obligations, and your use of the Services may be automatically disabled or terminated. Your access to the Services will not resume until you re-subscribe and pay all applicable fees in full, including any fees and expenses incurred by Rebel Audio due to the chargeback.

4.8 Third-Party Payment Processors

Payments may be collected by third-party billing service providers (e.g., Stripe). Such third-party providers' own terms of service and privacy policies apply to such transactions.

4.9 Tax Reporting and Withholding

(a) Taxpayer Identification. As a condition of receiving any payments under these Terms, including but not limited to advertising revenue share payments (Section 8), Derivative Work Rights proceeds (Section 6), Clip Use revenue (Section 6.4), and Cross-Podcast Stitching revenue (Section 2.6), you must provide Rebel Audio with a valid, completed Internal Revenue Service Form W-9 (Request for Taxpayer Identification Number and Certification) or, if you are not a U.S. person, the applicable Form W-8 series form (collectively, "Tax Documentation"). You represent and warrant that all information provided in your Tax Documentation is true, correct, and complete, and you agree to promptly update such documentation in the event of any change in circumstances that renders it inaccurate or incomplete.

(b) Information Returns. Rebel Audio will file information returns with the Internal Revenue Service and provide corresponding payee statements to you as required by applicable law, including but not limited to Forms 1099-MISC, 1099-NEC, or 1099-K, as applicable based on the nature and amount of payments made to you during each calendar year.

(c) Backup Withholding. If you fail to provide valid Tax Documentation, if the Internal Revenue Service notifies Rebel Audio that the taxpayer identification number you provided is incorrect, or if you are otherwise subject to backup withholding under IRC Section 3406, Rebel Audio shall withhold from payments due to you at the applicable backup withholding rate (currently twenty-four percent (24%)) and remit such amounts to the Internal Revenue Service. Rebel Audio shall have no liability to you for amounts properly withheld and remitted pursuant to this Section.

(d) Withholding on Payments to Non-U.S. Persons. If you are not a U.S. person (as defined in IRC Section 7701(a)(30)), payments made to you under these Terms may be subject to withholding under IRC Sections 1441, 1442, or 1446, as applicable, at the statutory rate of thirty percent (30%) or such reduced rate as may be available under an applicable income tax treaty, provided that you have submitted a valid and complete Form W-8 series form establishing eligibility for such reduced rate.

(e) Payment Holds. Rebel Audio reserves the right to suspend or withhold any payments otherwise due to you under these Terms until you have provided valid and complete Tax Documentation. Any amounts withheld or suspended pursuant to this Section 4.9(e) shall not accrue interest and shall be released to you (less any amounts required to be withheld under Sections 4.9(c) or 4.9(d)) promptly following Rebel Audio's receipt and verification of valid Tax Documentation.

(f) User Tax Obligations. You are solely responsible for determining and fulfilling your own tax obligations arising from payments received under these Terms, including but not limited to the filing of all required federal, state, and local tax returns and the payment of all taxes due thereon. Rebel Audio does not provide tax advice, and nothing in these Terms shall be construed as tax guidance.

(g) Cooperation. You agree to cooperate with Rebel Audio and provide such additional information and documentation as Rebel Audio may reasonably request to comply with its tax reporting and withholding obligations under applicable law.

5. User Content and License

5.1 Ownership of User Content

As between you and Rebel Audio, you are solely responsible for and will always own your podcasts, episodes, and the associated content, links, images, audio, video, metadata, and other materials that you upload, create, or make available through the Services (collectively, "User Content").

5.2 License Grant to Rebel Audio

By uploading or otherwise making User Content available through the Services, you grant Rebel Audio a non-exclusive, royalty-free, fully paid-up, worldwide, sublicensable, and transferable license to use, download, store, reproduce, publicly display, publicly perform, distribute, modify, create derivative works of, translate, and make your User Content available in and through the Services. You further grant Rebel Audio a non-exclusive, fully paid-up, worldwide, sublicensable license to use, reproduce, publicly display, and publicly perform your User Content in any media for the purpose of promoting your User Content as available through the Services.

5.3 Voice and Likeness

Rebel Audio may use the name and authorized likenesses of hosts and guests of your podcasts in furtherance of promoting your podcasts; provided, however, that Rebel Audio shall obtain further written approval from you if any such host or guest name, likeness, or identifying material is otherwise used as an endorsement of Rebel Audio or Rebel Audio products or services.

5.4 AI Training License

You grant Rebel Audio a perpetual, worldwide, royalty-free, sublicensable, irrevocable, non-exclusive license to use, copy, store, modify, reproduce, and distribute your User Content (including AI inputs and outputs) to provide the platform, conduct research and development, and improve Rebel Audio's services and its third-party AI providers' services. You may opt out of having your User Content used for AI model training purposes in accordance with the opt-out procedures set forth in Section 7.1.

5.5 Representations and Warranties Regarding User Content

You represent and warrant that:

  • you own or have the right to post User Content, including all necessary rights relating to any sound recordings, musical works, and other intellectual property included therein, and all rights necessary to grant Rebel Audio the licenses described in these Terms
  • such User Content and its use by Rebel Audio as permitted herein does not violate these Terms, applicable law, or the intellectual property or other rights of any third party
  • you have acquired, retained, and properly administered any third-party rights, licenses, authorizations, consents, permissions, and approvals relating to the User Content, including but not limited to any music clearances
  • no royalties, fees, or other monies are or will be payable by or on behalf of Rebel Audio to any third party in connection with the User Content you make available through the Services
  • all User Content you submit is correct, accurate, and complies with all applicable laws, regulations, and industry standards

5.6 Content Moderation

Rebel Audio may reject or remove User Content at any time, for any reason or no reason, in its sole discretion, and may modify or cancel Services at any time.

6. Derivative Work Rights

6.1 Grant of Derivative Work Rights

By using the Services and uploading User Content to the platform, you grant Rebel Audio the right to negotiate and exploit derivative work rights in and to your User Content. "Derivative Work Rights" means all non-podcast adaptations of any podcast made available through the Services, including without limitation rights in connection with motion picture, television, stage, graphic novel, book, and music adaptations, but excluding "vodcasting" (i.e., publishing the audiovisual recording of the podcast itself, in whole or in part).

6.2 Revenue Sharing for Derivative Works

Any proceeds from the license, sale, or other disposition of Derivative Work Rights shall be divided seventy percent (70%) to Rebel Audio and thirty percent (30%) to User ("User's Share"), after deduction of (a) a fifteen percent (15%) overhead fee to Rebel Audio, and (b) any third-party out-of-pocket costs associated with the disposition, including commissions, legal fees, development costs, production costs, insurance, and similar expenses.

6.3 Accounting

Rebel Audio shall provide an accounting of Derivative Work Rights revenues once per calendar year, with the first accounting commencing ninety (90) days after the initial public for-profit release of the applicable derivative work.

6.4 Clip Use Rights

Notwithstanding the foregoing, Rebel Audio shall have the right to take clips from each podcast and offer them as short-form content, either standing alone or packaged with other podcast clips, to create content libraries organized by genre, subject matter, and other rubrics ("Clip Use").

(a) Cut Downs. If the Clip Use is on a standalone, individually monetized basis (a "Cut Down"), the User shall receive one hundred percent (100%) of the User's Share of Net Revenue generated by such Cut Down.

(b) Clip Shows. If the User's clip is combined with other clips and presented as a composite podcast (a "Clip Show"), the User shall receive a pro rata share of the User's Share of Net Revenue, calculated as the ratio of the run time of the User's clip over the total run time of the applicable Clip Show.

(c) Net Revenue. "Net Revenue" means gross revenues generated by the applicable Clip Use, less (i) a fifteen percent (15%) overhead fee to Rebel Audio, and (ii) any third-party costs, including hosting, AI, and other fees and costs.

(d) User's Share. For purposes of Clip Use, the "User's Share" shall be fifty percent (50%) of Net Revenue.

(e) Accounting. Rebel Audio shall provide an accounting of Clip Use revenues once per calendar year.

7. Opt-Out Provisions

7.1 Opt-Out Rights

Users may opt out of the following features and rights grants by providing written notice to Rebel Audio at opt-out@rebelaudio.ai within 10 days of first accepting these Terms or within 10 days of the launch of any new feature to which opt-out rights apply:

  • (a) Derivative Work Rights. Users may opt out of the grant of Derivative Work Rights described in Section 6.1.
  • (b) Cross-Podcast Stitching. Users may opt out of having their User Content included in composite works created through the Cross-Podcast Stitching Feature described in Section 2.6.
  • (c) AI Training. Users may opt out of having their User Content used for AI model training as described in Section 5.4.

Opt-out notices must identify (i) the specific right(s) from which the User is opting out (Derivative Work Rights, Cross-Podcast Stitching, and/or AI Training), and (ii) the specific User Content to which the opt-out applies. Opt-out requests that do not identify specific User Content will be treated as applying to all User Content uploaded after the effective date of the opt-out.

7.2 Effect of Opt-Out

Upon receipt of a valid opt-out notice, Rebel Audio will cease exercising the applicable rights with respect to User Content created or uploaded after the effective date of the opt-out. Opt-out will not apply retroactively to any Derivative Works, Clip Uses, or composite works that are already in development, production, or distribution at the time of the opt-out.

7.3 Opt-Back-In

A User who has previously opted out of any feature or rights grant under Section 7.1 may opt back in by providing written notice to Rebel Audio at opt-out@rebelaudio.ai. Upon receipt of a valid opt-back-in notice, the applicable rights grant will be reinstated and apply to User Content created or uploaded after the effective date of the opt-back-in notice. Opt-back-in will not apply retroactively to any User Content uploaded during the period in which the opt-out was in effect.

8. Advertising and Brand Partnerships

8.1 Voice-Cloned Ad Reads

Rebel Audio's advertising model involves creating a reusable voice template using the User's cloned voice profile for the purpose of generating in-episode advertisement reads. By using the voice cloning features of the Services, you consent to the use of your cloned voice profile for the generation of such ad reads.

8.2 Monetization of Creator Data

User data and voice profiles may be made available to outside brands and advertising agencies for monetization purposes within the Rebel Audio ecosystem. By using the Services, you consent to Rebel Audio sharing your anonymized and aggregated user data, engagement data, and voice profile data with third-party advertisers, brands, and advertising agencies for the purpose of facilitating brand partnerships and advertising opportunities.

8.3 Advertising Services

Rebel Audio may source, negotiate, and facilitate advertising and sponsorship opportunities on behalf of Users in connection with their podcast episodes (collectively, "Platform-Sourced Advertising"). Platform-Sourced Advertising includes, without limitation:

  • (a) Dynamic Ad Insertion. Programmatic insertion of targeted pre-roll, mid-roll, and post-roll advertisements into podcast episodes before, during, or after playback, served based on listener demographics, content category, geography, and other targeting parameters.
  • (b) Host-Read Advertisements. Scripted or guided advertisement reads performed by the User (or generated via the User's cloned voice profile pursuant to Section 8.1), where the advertising opportunity is sourced or facilitated by Rebel Audio or its advertising partners.
  • (c) Brand Sponsorships. Sponsorship arrangements sourced by Rebel Audio in which a third-party brand is featured in, associated with, or integrated into one or more of the User's podcast episodes or related content.
  • (d) Other Advertising Formats. Any other advertising, promotional, or branded content opportunity sourced by Rebel Audio on behalf of the User, including but not limited to branded segments, product integrations, and cross-promotional placements.

Rebel Audio shall determine the format, frequency, and placement of Dynamic Ad Insertion advertisements in its reasonable discretion. For host-read advertisements, brand sponsorships, and other non-programmatic formats, Rebel Audio shall present the opportunity to the User and obtain the User's approval prior to commitment.

8.4 Advertising Revenue Share

Rebel Audio shall pay the applicable User seventy percent (70%) of Net Advertising Revenue (as defined below), and Rebel Audio shall retain thirty percent (30%). This revenue share applies uniformly to all categories of Platform-Sourced Advertising described in Section 8.3.

"Net Advertising Revenue" means gross advertising revenue actually received by Rebel Audio attributable to Platform-Sourced Advertising served in connection with a User's podcast episodes, less (a) any refunds, chargebacks, or advertiser credits; (b) ad serving, targeting, and delivery costs charged by third-party ad technology providers; and (c) any applicable taxes, fees, or regulatory charges.

For the avoidance of doubt, this revenue share does not apply to advertising or sponsorship arrangements independently sourced and negotiated by the User without the involvement of Rebel Audio or its advertising partners ("Creator-Sourced Advertising"). Revenue from Creator-Sourced Advertising belongs entirely to the User.

8.5 Advertising Payments and Reporting

Rebel Audio shall make advertising revenue share payments to Users on a monthly basis, within forty-five (45) days following the end of each calendar month in which Net Advertising Revenue is earned, subject to a minimum payment threshold of twenty-five U.S. dollars ($25.00). If a User's accrued balance does not meet the minimum threshold in a given month, such amounts shall roll over to the following month.

Rebel Audio shall provide Users with access to a monetization dashboard through the Services. Rebel Audio reserves the right to withhold or offset payments in the event of suspected fraudulent activity, invalid traffic, or breach of these Terms.

8.6 Ad Content Standards and Opt-Outs

Rebel Audio shall use commercially reasonable efforts to ensure that all Platform-Sourced Advertising complies with applicable law and Rebel Audio's advertising content guidelines. Users may designate content category preferences and exclusions through the Creator Dashboard, and Rebel Audio shall use commercially reasonable efforts to honor such preferences. Rebel Audio does not guarantee that all ad placements will conform to User preferences at all times.

Users may opt out of Dynamic Ad Insertion by providing written notice to Rebel Audio at opt-out@rebelaudio.ai; provided, that opting out of Dynamic Ad Insertion will disable programmatic ad insertion and associated revenue only.

9. Rebel Audio Intellectual Property

9.1 Ownership

The Services and all content, features, and functionality thereof (excluding User Content), including but not limited to software, code, user interface, graphics, audio clips, video clips, editorial content, scripts, trademarks, service marks, trade names, logos, and trade dress, are and shall remain the exclusive property of Rebel Audio or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

9.2 Limited License

Subject to your compliance with these Terms, Rebel Audio grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to access and use the Services on your personal or business electronic devices, solely in accordance with these Terms and your applicable subscription plan.

9.3 Restrictions

You may not:

  • resell, sublicense, or distribute any part of the Services
  • reverse engineer, decompile, or disassemble any aspect of the Services
  • remove or alter any copyright, trademark, or other proprietary notices
  • modify or create derivative works based on the Services
  • reproduce or copy the features or functionality of the Services
  • use the Services to build a competing product or service
  • use the Services outside the scope expressly permitted by these Terms

9.4 Feedback

Any suggestions, comments, improvements, ideas, enhancement requests, or feedback provided by you to Rebel Audio relating to the platform, the Services, or any other products or services of Rebel Audio (collectively, "Feedback") are provided voluntarily. You agree that all Feedback may be used by Rebel Audio without compensation, accounting, or attribution to you, and you hereby grant Rebel Audio a perpetual, irrevocable, fully paid-up, worldwide, royalty-free right and license to the Feedback.

10. Third-Party Services and Integrations

10.1 Third-Party Integrations

If you choose to publish podcast episodes to third-party services (such as YouTube, Spotify, Apple Podcasts, Amazon, or others) via the Services, Rebel Audio will upload content to your third-party accounts as directed. By connecting your third-party accounts, you agree to comply with the applicable third-party terms of use and privacy policies. You are solely responsible for reviewing, understanding, and complying with all applicable third-party terms of service, community guidelines, content policies, and monetization rules. Rebel Audio is not responsible for any actions taken by third-party platforms with respect to your content.

10.2 Third-Party Content

You acknowledge that all third-party content accessible through the Services (including third-party advertisements) is the sole responsibility of the person or entity from which such content originated. Rebel Audio does not control, monitor, endorse, sponsor, or approve third-party content and does not guarantee its accuracy, integrity, or quality.

10.3 Third-Party Tools

Rebel Audio may utilize third-party tools and providers (including, without limitation, third-party AI services and voice cloning technology) in connection with the Services. The availability and functionality of such third-party tools may change without notice.

11. Privacy and Data Collection

11.1 Privacy Policy

Rebel Audio's collection, use, disclosure, and processing of personal information in connection with the Services is governed by the Rebel Audio Privacy Policy, which is incorporated into these Terms by reference and may be updated from time to time in Rebel Audio's sole discretion. By using the Services, you acknowledge that you have read and understood the Privacy Policy and consent to the data practices described therein.

11.2 International Use

The Services are intended for use within the United States. Rebel Audio does not represent that the Services are appropriate or available for use in any jurisdiction outside the United States. If you access or use the Services from outside the United States, you do so at your own risk and are solely responsible for compliance with all applicable local laws.

12. Copyright Infringement and DMCA Policy

12.1 Repeat Infringer Policy

Rebel Audio respects the intellectual property rights of others and expects its Users to do the same. Rebel Audio has adopted and implemented a policy that provides for the termination of Users who are repeat infringers in appropriate circumstances.

12.2 DMCA Notices

Rebel Audio responds to claims of copyright infringement in accordance with the Digital Millennium Copyright Act ("DMCA"). To notify Rebel Audio of alleged copyright infringement, please send a written notice to copyright@rebelaudio.ai that includes:

  • a physical or electronic signature of a person authorized to act on behalf of the owner of the allegedly infringed exclusive right
  • a description of the copyrighted work claimed to have been infringed
  • a description of the material claimed to be infringing and information sufficient to enable Rebel Audio to locate such material
  • information reasonably sufficient to permit Rebel Audio to contact you, such as an address, telephone number, and email address
  • a statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law
  • a statement that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner

12.3 Section 230

Under Section 230 of the Communications Decency Act (47 U.S.C. § 230), Rebel Audio is not the publisher or speaker of user content and is generally not liable for statements made by Users or their guests.

13. Relationship of the Parties

The relationship between Rebel Audio and User is strictly contractual. Nothing in these Terms shall be construed to create any agency, partnership, joint venture, fiduciary, bailment, or employment relationship between the parties. Neither party has, nor shall be deemed to have, any authority to bind the other party to any obligation or commitment not expressly set forth in these Terms.

14. Audit Rights

User may audit Rebel Audio's records relating to revenue sharing under Sections 6 and 8 once per calendar year, during reasonable business hours, at Rebel Audio's principal place of business (currently, Franklin, Tennessee). The cost of any such audit shall be borne by the User unless the audit reveals an underpayment to User in excess of one hundred ten percent (110%) of the amount reflected in the audited statement, in which case Rebel Audio shall bear the reasonable costs of such audit.

15. Account Termination

15.1 Termination by User

You may close your account at any time through your account settings or by contacting Rebel Audio. Your account closure will not affect your obligations as to any amounts you owe.

15.2 Termination by Rebel Audio

Rebel Audio may terminate or suspend your account at any time upon notice, for any reason or no reason.

15.3 Effect of Termination

Upon termination, your right to access and use the Services will immediately cease. Account data will be retained for ninety (90) days following account deletion, after which it will be permanently deleted or anonymized. Audio recordings, video recordings, transcripts, and project files will be deleted within thirty (30) days following account deletion. Voice prints and AI Voice models will be deleted within thirty (30) days of account deletion. Billing records and transaction logs will be retained for seven (7) years as required for accounting and tax compliance. Data subject to a legal hold or pending litigation will be preserved as required regardless of these timelines. Users are responsible for making backup copies of their User Content prior to account termination. Termination will not release you from any obligation to pay fees incurred prior to termination.

The following Sections shall survive any termination or expiration of these Terms: 5 (User Content and License), 6 (Derivative Work Rights), 9 (Rebel Audio Intellectual Property), 13 (Relationship of the Parties), 14 (Audit Rights), 16 (Disclaimers), 17 (Limitation of Liability), 18 (Indemnification), 19 (Dispute Resolution), and 20 (General Provisions).

16. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

REBEL AUDIO DOES NOT GUARANTEE, REPRESENT, OR WARRANT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, AND YOU AGREE THAT FROM TIME TO TIME REBEL AUDIO MAY REMOVE THE SERVICES FOR INDEFINITE PERIODS OF TIME, CANCEL THE SERVICES AT ANY TIME, OR OTHERWISE LIMIT OR DISABLE YOUR ACCESS TO THE SERVICES WITHOUT NOTICE TO YOU.

THE SERVICES AND ALL CONTENT DELIVERED TO YOU THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" FOR YOUR USE, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT.

REBEL AUDIO DOES NOT WARRANT THAT THE SERVICES WILL BE FREE FROM LOSS, CORRUPTION, ATTACK, VIRUSES, INTERFERENCE, HACKING, OR OTHER SECURITY INTRUSION. YOU ARE RESPONSIBLE FOR BACKING UP YOUR OWN SYSTEMS, INCLUDING ANY CONTENT UPLOADED TO OR ACQUIRED THROUGH THE SERVICES.

Because some jurisdictions do not allow the exclusion of implied warranties, the above exclusion of implied warranties may not apply to you.

17. Limitation of Liability

17.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REBEL AUDIO, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, LOSS OF USE, LOSS OF CONTENT, OR LOSS OF DATA, WHETHER BASED IN WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF REBEL AUDIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

17.2 Aggregate Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REBEL AUDIO'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO REBEL AUDIO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

17.3 No Injunctive Relief

USER'S SOLE AND EXCLUSIVE REMEDY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE LIMITED TO MONEY DAMAGES. USER HEREBY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR OTHER EQUITABLE RELIEF AGAINST REBEL AUDIO. USER FURTHER WAIVES ANY RIGHT TO PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES.

18. Indemnification

You agree to indemnify, defend, and hold harmless Rebel Audio and its affiliates, officers, directors, employees, agents, successors, and assigns from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your User Content; (c) your breach of these Terms; (d) your violation of any applicable law or any third-party right, including any intellectual property, publicity, or privacy right; (e) any use of voice cloning features, including any failure to obtain necessary consents; or (f) any Derivative Work or Clip Use involving your User Content.

19. Dispute Resolution

19.1 Confidential Binding Arbitration

Rebel Audio and you agree to resolve all disputes and claims that arise out of or relate in any way to the Services or these Terms through confidential, binding arbitration, rather than in court. This agreement to arbitrate is intended to be broadly interpreted and includes, without limitation: (a) claims brought under any legal theory; (b) claims that arose before you first accepted these Terms; (c) claims that may arise after the termination of your use of the Services; and (d) claims brought by or against Rebel Audio, its affiliates, and the respective officers, directors, employees, agents, predecessors, successors, and assigns of these entities.

19.2 Pre-Arbitration Notice and Informal Resolution

If any party intends to seek arbitration, that party must first provide the other party with a written Notice of Dispute. The Notice of Dispute must include: (a) your name and mailing address, (b) the email address associated with your account, (c) a description of the dispute, and (d) a statement of the relief requested. If the parties are unable to resolve the dispute within sixty (60) days after the Notice of Dispute is submitted, either party may initiate arbitration.

19.3 Arbitration Procedures

The arbitration will be governed by the American Arbitration Association's ("AAA") Commercial Arbitration Rules, as modified by these Terms, and will be administered by the AAA. Unless the parties agree otherwise, the Expedited Procedures of the AAA Rules will apply to any claim of seventy-five thousand dollars ($75,000) or less.

19.4 Class Action Waiver

YOU AND REBEL AUDIO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING.

19.5 Confidentiality

All arbitration proceedings, including any awards and settlements, shall be confidential.

19.6 Limitations Period

All claims arising out of or relating to these Terms, the Services, or any Derivative Work Rights must be brought within two (2) years of the date the cause of action accrues, or the shortest period permitted by applicable law.

20. General Provisions

20.1 Governing Law

ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL BE GOVERNED BY THE LAWS OF THE STATE OF NEW YORK, EXCLUDING NEW YORK'S CONFLICT OF LAWS RULES, EXCEPT TO THE EXTENT THAT NEW YORK LAW IS CONTRARY TO OR PREEMPTED BY FEDERAL LAW.

20.2 Venue

Except as provided in Section 19, all claims arising out of or relating to these Terms or the Services will be litigated exclusively in the federal or state courts located in New York, New York. The parties consent to personal jurisdiction in these courts.

20.3 Entire Agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, and any additional agreements or policies referenced herein, constitute the entire agreement between you and Rebel Audio relating to the subject matter hereof and supersede all prior or contemporaneous agreements, understandings, and communications.

20.4 Modifications

Rebel Audio reserves the right to modify these Terms at any time. If Rebel Audio makes material changes, it will notify you via email or by posting a prominent notice on the Services. Continued use of the Services following notice of any modifications constitutes your acceptance of the updated Terms.

20.5 Assignment

Rebel Audio may assign any or all of these Terms and may assign or delegate, in whole or in part, any of its rights or obligations under these Terms. You may not assign these Terms, in whole or in part, nor transfer or sublicense your rights under these Terms to any third party, without Rebel Audio's prior written consent.

20.6 Severability

If any provision of these Terms is found unenforceable by a court of competent jurisdiction, that provision will be severed and the balance of the Terms will remain in full force and effect.

20.7 Waiver

Rebel Audio will not be treated as having waived any rights by not exercising (or by delaying the exercise of) any rights under these Terms.

20.8 Force Majeure

Rebel Audio is not liable for any failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including but not limited to acts of God, fire, flood, earthquake, pandemic, war, terrorism, strikes, governmental action, internet or network failures, DDoS attacks, or third-party hosting failures.

20.9 Notices

Except as provided in Section 19, all notices must be in writing and sent via email. The email address for notices being sent to Rebel Audio is admin@rebelaudio.ai. All other notices to you will be sent to the email address associated with your account. Notice will be treated as given on receipt, as confirmed by written or electronic means.

20.10 Electronic Communications

For contractual purposes, you (a) consent to receive emails via the email address you submitted when you signed up for the Services, and (b) agree that all Terms, agreements, notices, disclosures, and other communications that Rebel Audio provides to you electronically satisfy any legal requirement that such communications would satisfy if provided in writing.

20.11 No Third-Party Beneficiaries

Except as explicitly provided herein, there are no third-party beneficiaries to these Terms.

20.12 California Residents Notice

Under California Civil Code Section 1789.3, California users are entitled to the following specific consumer rights notice: Current rates for the Services are available at www.rebelaudio.ai/pricing.
